Massachusetts Business Corporation Act Information

The Massachusetts Business Corporations Act G.L. C156D (hereinafter referred to as "the Act") applies to all Massachusetts business corporations now governed by G.L. C156B, foreign corporations qualified to do business in Massachusetts under G.L. C181, and professional corporations if application of the Act would not be inconsistent with the provisions of G.L. C156A.  The Corporations Division has adopted regulations, 950 CMR 113.00, that describe the practices and procedures of the Division relative to the Act.  The regulations are effective as of September 24, 2004 and a draft copy is available below. The official version of the Regulations will be published in the Massachusetts Register on October 8, 2004.
