Common Questions

How much is delivery?
We are delighted to be able to offer free delivery on all direct orders, regardless of size, value or destination.

Can you offer a specific day for when delivery will be made?
Sadly not, the majority of deliveries are handled by domestic postal services, and we cannot offer a definitive time or date for when deliveries will be made.

Are items dispatched together, or in separate packages?
We find it more efficient to dispatch items separately. As we receive items from a number of different suppliers, who will invariably deliver items at different times of the day, and sometime, on different days entirely, we dispatch items as soon as they arrive, as opposed to delaying an order whilst we wait for an order to arrive in it's entirety.

Can you provide tracking numbers for packages?
The majority of orders will not be trackable once they have been dispatched to customers. However, high value books will be dispatched through DHL, UPS or Interlink, and these can be tracked.

Can I cancel and return my order?

Sure, you can cancel your order within 30 days of receiving it by completing our online cancellation form. Once you've cancelled the order, you must send the parcel back to us within 14 days. Once we get it, you'll be refunded the price of the item(s) within 14 days. You'll be responsible for the cost of returning the item to us, unless we delivered it to you in error or it is faulty.


It is your responsibility to ensure safe return of the item(s) to us. If you return a high-value item, we recommend you use a recorded delivery service. We'll refund the same means of payment as you used to make your purchase.

The price of my pre-ordered book has dropped, can I receive a refund for the difference?
Sadly we are unable to offer retrospective refunds once an order has been placed and the sale price agreed between ourselves and the customer. However, pre-orders can be cancelled as long as they have not yet been dispatched to customers.

Which payment options are available to me?
We accept payments made with the following credit cards: VISA, MasterCard, AMEX, VISA Debit, VISA Delta, Maestro, Electron, SOLO. We are also delighted to be able to accept PayPal. We cannot accept orders paid for by cheque, postal order or proforma invoices.

Can I place my order across the telephone?
We can only process orders placed through the website. This policy ensures that we can accept your orders quickly and that your details are kept secure throughout the ordering process.

Australian Customers
Please note, orders placed over AUD $1000 may be subject to GST (Goods and Service Tax) and customs clearance fees, if the order is consolidated into one shipment.

Also, effective from the 1st July 2009, the Formal Declaration Fee (formally known as the formal entry fee) imposed by the Australian Customs Service will be added to the bill - $55.20.

A typical order of $1000 may end up costing an additional $250 once cleared through customs.

Telephone Number
A valid daytime contact telephone number is required if we upgrade the delivery of your items to a courier service. This is typically for orders of a high value. The upgrade is free of charge, and the telephone number will not be used for any other purpose other than to be given to the delivery driver.

No gift tokens
Sadly we cannot yet offer gift vouchers or certificates. We hope to be able to offer these in the future, and will make these available to customers as soon as possible.

Cover design images
I'm afraid that the images on our website are intended as a guide only. As a depository we do not keep our stock on site, they are sourced from various suppliers. The images are supplied by the publishers who can have various cover designs for one ISBN so we will not know what design we will receive until it is delivered.

The most convenient way to contact us is by filling in the online contact form. The form is designed to help you specify the problem or the query and then direct it to the member of staff best suited to deal with it.

Alternatively we are always happy to hear from you and help with any queries or problems. We endeavour to answer all queries within 24 hours.

Delivery is FREE on all orders. This applies irrespective of your location as long as we ship to your country. You can check our current global shipping locations here.

The estimated despatch time is shown on each product page under the ‘add to basket’ button.

Products are usually despatched separately even if you have ordered them together. If you would like to have items sent to separate addresses please complete a separate order for each address.

We accept payments made with the following credit cards: VISA, MasterCard, AMEX, VISA Debit, VISA Delta, Maestro, Electron. We are also happy to accept PayPal. Unfortunately, we are unable to accept JCB.

Once you have entered your details online through our secure server, you have the option to store the card for use in the future, subsequent orders can be placed simply by logging into your account using your email address and password and selecting a credit card option from the list of those previously used - you would still have to enter the card's CVV number at this point.

We charge in the currency selected.

We're sorry we currently cannot take payment with Amex cards in Canadian Dollars, Czech Koruna, Israeli Shekel, Norwegian Krona, Polish Zloty, Swedish Krona, Swiss Franc and Thai Baht, we hope this will change soon.

Dispatch times may vary for each item even if they are ordered at the same time. It really depends on the book -- you can see the relevant info on its page. You'll get a jolly email when your item has been dispatched so you can start making room on your shelves for your new books!

What is a Pre-order?

A pre-order is a title which hasn't yet been released by the Publisher. We state the publishing date on every webpage. Your order will be shipped just before or on the release date stated.

Do you charge for Pre-orders up front?

We offer many pre-order titles on the site and try to price these with a good up front discount. We currently charge for pre-orders in advance, often we source difficult to find titles so this process is helped along the way by knowing there is a firm order.

How do I change the delivery address for a Pre-Order?

Providing the Pre-order hasn't already shipped, just drop us a line at here requesting the change along with the new delivery address. Please note that we are unable to amend delivery addresses from one EU country to another EU country for tax reasons.

Can I cancel a Pre-order?

We can cancel Pre-orders providing they haven't already shipped. Please drop us an email through our web form here.

It's now the release date but my order hasn't been sent? What do I do?

We aim to display as much up to date information as possible on our website. However, there may be a rare occasion where the release date has been changed by the publisher at the last minute. Don't panic! Just drop us a line or two here and we'll get as much information as we can for you.

It hasn't been released yet but the website states Item Unavailable. What does this mean?

We currently list the item as available as we have fulfilled our all pre-order stock levels and unable to accept any further orders. However, the item may be available again for pre-ordering again at some point before the release date.

What is a Print on Demand (POD) title?

A POD book is a digital file stored by publishers. When a POD book is ordered by a customer, the publisher prints out a copy and sends it to us. A POD book is the same quality as a 'normal' printed book and in no way differs in style, content or appearance. POD titles are genuine copies of these books and not of a lower quality. Many publishers, especially academic ones, are moving towards this new and efficient model.

We have taken all possible steps to secure your credit card details by using high grade Secure Socket Layer (SSL) for all transactions involving information passed between your computer and our server. SSL encrypts the data so that no-one will be able to access the data in its original format.

Please note that in the event of unauthorised use of your card you should notify your card provider in accordance with their own procedures.

Many browsers (such as JAWS, Home Page Reader, Lynx and Opera) can extract the list of links on a page and allow you to browse the links separately from the page. Link text is never duplicated on our site. Two links on the same page with the same link text always point to the same address.

PDFs
We continually make efforts to minimise the number of PDFs on our site. Where they appear, they are accompanied by a link to the Adobe site where you can download free Acrobat Reader software, allowing you to view these documents.

Help with finding content
Every page of the site features a 'Help' link at the top. Our help section exists to help you find your way to key information in the site. It also features tips on how to use search on the site.

Images
Decorative and functional images may feature null ALT attributes. Other images on the site include descriptive ALT attributes.

Layout
The site is free of frames and uses a cascading style sheet. Tables are used for tabular data, but we have avoided using them to dictate the layout of our pages. The stylesheet uses relative font sizes and is written to display pages correctly in most commonly-used browsers.

Text size
Most modern browsers have an option to increase the size of viewable text. This is generally located in the top toolbar of your browser under the 'View' option. You can also use the CTRL key with the '+' plus key (to make text larger) or the '-' minus key (to make text smaller)

We've spent quite a bit of time on our search engine and really hope it will help you search for, refine, and find the title you want. We've also added the ability to browse to categories and then search within them as we recognised that although you're a Food & Drink fan, for example, you might want to see just forthcoming vegetarian titles today.

The website provides several ways for you to find the item you need. Apart from the main search option, which you can find at the top centre of the screen, you can also browse through our subject catalogue, which provides a convenient way to find books of interest even if you do not know the title or author or select one of the top-selling products in each category. On each category page there is a tab at the top in order for you to view all the books in that category and its sub categories these will be large numbers so we've sorted them by bestselling but give you the tools to change this as you wish.

Additionally, we have an advanced search feature which allows you to refine your search in a number of different ways. The link to this is below the "Find book" button and allows you to search by Title, Author, Publisher and ISBN in any combination.

When you find a book that you are interested in, you can either add it to your basket if you want to order it right away or add it to your wishlists if you want to come back to it later. This will allow you to look again at the book whenever you review your wishlists.

The ISBN (International Standard Book Number) is unique to each book, and the edition of that book. The ISBN has traditionally been made up of 10 numbers -- inputting a number in this format should return just one result.

Please keep in mind that new editions of a title will have new ISBNs, so checking on the author or title is also often worthwhile. The ISBN has changed to a 13 digit number in order to accommodate the number of titles being published, so don't be surprised if you start seeing numbers beginning with 978.

Your details

  1. When you register with The Book Depository website, you will be required to choose a contact email address and password. You are responsible for all sessions and transactions taken under these details. You should keep your password safe and not disclose it to anyone. You should change it immediately if you feel it has been compromised.
  2. If any of your details change, such as your credit card billing address, you must inform The Book Depository as soon as possible. You may update your details by signing into your account on The Book Depository website, and updating your online wallet.

The contract between us

  1. Any contract for purchases made through The Book Depository website will be with The Book Depository Limited whose registered office is situated at The Book Depository Limited, 60 Holborn Viaduct, London, EC1A 2FD company registration number 5124926. Our VAT registration numbers are listed in Value Added Tax (VAT) section below.
  2. The Book Depository must receive payment of the whole of the price for the goods that you order before your order can be accepted, and the contract formed. Payment is taken at the point of order. Once payment has been received The Book Depository will confirm that your order has been received by sending an email to you at the email address you provide. The order confirmation email will include your name, the order number and the total price. The Book Depository acceptance of your order brings into existence a legally binding contract between us on these terms. Any term sought to be imposed by you in your order will not form part of the contract.
  3. The Book Depository is entitled to withdraw from any contract in the case of obvious errors or inaccuracies regarding the goods appearing on our website. If an error or inaccuracy is discovered with regards to the advertised price of the goods that you have ordered, we will contact you as soon as possible by email. This will be to inform you of the correct price of the goods, and to ask you if you wish to continue with the order at the amended price, or to cancel the order altogether.
  4. This Site is for personal and non-commercial use. You may not use the site to place orders which will be, or are being, sold on to a third party. If you are suspected of using the site in this way then we reserve the right to withdraw from the contract and cancel your orders.

Your right of cancellation

  1. If you are an individual and are not buying goods on behalf of a business, you can cancel your order without giving any reason within 14 days from the day on which you receive your items (or the last item if they were shipped separately). You must notify us of your cancellation. You can notify us through our online contact form or by completing this online cancellation form.
  2. You will be responsible for the cost of returning the item to us, unless we delivered it to you in error or it is faulty. You must send the item back to us no later than 14 days from the day on which you notified us of your cancellation, by following the instructions we send you.
  3. We will refund the price of the item no later than 14 days from the day on which we receive the item back from you or, if earlier, the day on which you provide evidence reasonably acceptable to us that you have sent the item back. We'll refund the same means of payment as you used to make your purchase.

Availability of goods you order
If The Book Depository has insufficient stock to deliver the goods ordered by you, we will notify you as soon as possible and any sum debited by The Book Depository from your credit card will be re-credited to your account and The Book Depository will notify you by email at the address given by you in your order form. The refund will be made as soon as possible and in any event within 30 days of your order. The Book Depository will not be obliged to offer any additional compensation for disappointment suffered. Please note: we endeavour to bring our customers the best value we can by running special offers, but please remember stocks are limited at the special offer price, and subject to availability. We update our website as quickly as we can to minimise disappointment. The process of updating the website when goods have sold out at promotional price may take a few hours to update. Please note that the price the goods are offered for tender are as displayed in your online basket.

Multi-buy offers
Promotions apply to listed titles only, which are subject to change and availability. If you choose to purchase a product from a multi-buy offer, but do not purchase enough products to qualify for the special discount, the product will be charged at the normal price. Please note that on 3 for 2 promotions (and other multi-buy offers), the lowest priced title will always be the 'free' item.

Delivery of goods to you
The Book Depository will post, or arrange a courier on your behalf, for the goods ordered by you to the person and address you give The Book Depository at the time you make your order. Delivery will be made as soon as possible after your order is accepted and in any event within 30 days of dispatch of the order. All delivery times quoted on the web site are estimates only, based on availability, normal processing and delivery companies. You will become the owner of the goods you have ordered when the goods are dispatched to you from our distribution centre.

Value Added Tax (VAT)
All prices displayed on The Book Depository website are inclusive of your local Tax (or applicable local sales tax, VAT and similar taxes). Your final price may be different depending upon the tax that applies to your delivery location. Where The Book Depository apply a different tax rate based on the destination of the goods, this will be declared in the checkout.

When ordering goods from The Book Depository for delivery overseas, you may be subject to import duties and taxes that are levied once the package reaches your country. Any additional charges for customs clearance must be borne by you; we have no control over these charges and cannot predict what they may be.

Customs policies vary widely from country to country, so you should contact your local customs office for further information. Additionally, please note that when ordering from The Book Depository, you are considered the importer of record and must comply with all laws and regulations of the country in which you are receiving the goods.

Liability
This is as follows:

  1. If the goods The Book Depository delivers are not what you ordered or are damaged or defective or the delivery is of an incorrect quantity, The Book Depository shall have no liability to you unless you notify The Book Depository in writing at The Book Depository contact address of the problem within ten working days of the delivery of goods in question.
  2. If you do not receive goods ordered by you within 30 days of the date on which they were dispatched to you, The Book Depository shall have no liability to you unless you notify The Book Depository in writing at The Book Depository contact address of the problem within 40 days of the date on which the goods were dispatched to you.
  3. If you notify a problem to The Book Depository under this condition, The Book Depository only obligation will be, at its option, to make good any shortage or non-delivery; to replace or repair any goods that are damaged or defective; or to refund to you the amount paid by you for the goods in question to the original method of payment, unless such method is no longer valid in which case The Book Depository e-coupons will be issued to the value of the refund due.
  4. The Book Depository will not be liable to you for any indirect or consequential loss or damage arising out of any problem you notify to The Book Depository under this condition and The Book Depository shall have no liability to pay any money to you by way of compensation other than to refund to you the amount paid by you for the goods in question under paragraph (c) above.
  5. Nothing in this condition is, however, intended to limit any rights you might have as a consumer under applicable local law that may not be excluded nor in any way to exclude or limit The Book Depository liability to you for any death or personal injury resulting from its negligence.

Nothing in this contract creates any right which is enforceable by any person who is not a party to the contract.

Force Majeure
The Book Depository shall have no liability to you for any failure to deliver goods you have ordered or any delay in doing so or for any damage or defect to goods delivered that is caused by any event or circumstance beyond its reasonable control.

Invalidity
If any part of these conditions is unenforceable (including any provision in which The Book Depository excludes its liability to you) the enforceability of any other part of these conditions will not be affected.

Complaints
The Book Depository operates a complaints handling procedure which is used to try to resolve disputes when they first arise. Governing Law
The contract between us shall be governed by and interpreted in accordance with English law, and the English courts shall have jurisdiction to resolve any disputes between us. Entire Agreement
These terms and conditions, together with the current The Book Depository website prices, delivery details and The Book Depository contact details, set out the whole of our agreement relating to the supply of the goods to you by The Book Depository. These terms and conditions cannot be varied except in writing signed by a director of The Book Depository. In particular nothing said by any sales person on behalf of The Book Depository should be understood as a variation of these terms and conditions or as an authorised representation about the nature or quality of any goods offered for sale by The Book Depository. The Book Depository shall have no liability for any such representation being untrue or misleading.

We really don't like the excitement of choosing a book we want to buy on a web site and then hitting a big login block at the checkout - so when we designed this site we thought we'd do away with it!

You don't need to log into the checkout to buy and you do have an option right at the end to save your details for next time - to save even more time on the few forms there are. You can still track your orders with your order number and surname without an account - however you will need to set one up to view order history, maintain multiple delivery addresses, credit cards etc and do fun stuff on the site like write reviews.

1. No purchase necessary. Proof of entering is not proof of receipt of entry.

2. To be eligible, entries must be received on or before the competition closing date. Sure, you can cancel your order within 30 days of receiving it by completing our online cancellation form. Once you've cancelled the order, you must send the parcel back to us within 14 days. Once we get it, you'll be refunded the price of the item(s) within 14 days. You'll be responsible for the cost of returning the item to us, unless we delivered it to you in error or it is faulty.



It is your responsibility to ensure safe return of the item(s) to us. If you return a high-value item, we recommend you use a recorded delivery service. We'll refund the same means of payment as you used to make your purchase.

How can I return an incorrect, faulty or damaged item?

"TBD" is The Book Depository Limited, a company registered in England and Wales with company number 5124926 whose registered office is at 60 Holborn Viaduct, London, EC1A 2FD. "Products" means all goods, including packaging, provided to TBD. TBD is not obliged to purchase Products, and Vendor is not obliged to sell Products, until Vendor acknowledges an order file issued by TBD ("OF"). Vendor will not substitute Products or combine or consolidate OFs without TBD's consent. Documents that TBD signs acknowledging receipt of Products do not constitute acceptance of the Products. TBD may modify or cancel OFs without penalty before the Vendor delivers the Products (such delivery in accordance with section 7). The Product price on the OF prevails over any list or invoice price. Prices include applicable fees, taxes (excluding VAT / GST as the case may be), duties, levies, commissions and other charges, unless otherwise agreed in writing. If Vendor reduces the price of the Products in the Vendor's price list, Vendor will pass on the full benefit of the decrease to TBD.

2. Product Images/Information: Vendor will make available to TBD, free of charge, all current Product information, including electronic images, recommended retail prices, age ratings, any product safety information required by applicable law to be displayed to consumers and Product information collected by TBD from Vendor's website ("Product Information). Vendor will provide timely updates to the Product Information. Vendor grants TBD a non-exclusive, worldwide, irrevocable and royalty-free license for such period as the rights the Vendor has in the Product Information subsist at law to: (a) use, copy and display the Product Information on or in connection with any website (or similar ecommerce channel); (b) convert to digital electronic form, excerpt, reformat, adapt or otherwise create derivative works of the Product Information; (c) use all trademarks or trade names included in the Product Information; and (d) sublicense any of the foregoing rights for the purpose of marketing and promotion of the Products.

3. Warranties: Vendor represents and warrants that: (a) Products are safe, fit for purpose and free from any defects; (b) Product Information is accurate and complete and that neither TBD's exercise of its license rights, nor its sale, marketing or distribution of the Products, will violate any copyright, trademark, design, database or other third party's rights; (c) Products, including Product Information and import documentation (if applicable) comply with all applicable laws and rules and unless otherwise agreed, are CE compliant and are supplied with all available European language versions of instructions and warranty and equipment (including, where relevant, a plug suitable for the country of delivery of the Products); (d) the Products may be lawfully marketed, sold and distributed without restriction; and (e) no Products were produced, manufactured, assembled, or packaged by forced, prison or child labour (defined as age 15 or below or the minimum working age within the applicable jurisdiction, whichever is older).

4. Product Recalls; Product Returns; Effect of Remedies: Vendor will provide TBD immediate written notice of any recall. Vendor is responsible for the reasonable costs TBD incurs in a recall. TBD may return for a full refund at Vendor's expense any Product that (a) is damaged, defective, not fit for any purpose claimed by Vendor (or a Product manufacturer) or breaches any warranty or representation in section 3; (b) does not conform to agreed specifications or to samples; (c) is subject to recall; or (d) was not ordered in an OF by TBD. Where TBD returns Product for any of the reasons set out in this section, Vendor will inspect any returned Products and send written notice of any damages or shortages to TBD without delay. Vendor has a maximum of 6 months, from the date of dispatch of the returned Product from TBD's premises, to challenge the right to return some or all of the returned Product. Title to any Product returned to Vendor remains with TBD until Vendor has paid all monies related to that returned Product. Payment of an invoice does not limit TBD's remedies.

5. Vendor Defence and Indemnification: Vendor will defend TBD, its affiliated companies, and their respective officers, directors, employees, contractors and agents (the "TBD Parties") against any claim that arises, directly or indirectly, from: (a) any death of or injury to any person, damage to any property or any other damage or loss due to any defect in or use of any Product; (b) any breach of the warranties in Section 3; (c) any Product recall; (d) Vendor's negligence, strict liability or intentional misconduct; and (e) Vendor's breach of this Agreement (individually, a "Claim", and collectively, the "Claims"). Vendor will indemnify and hold harmless each TBD Party against any liability, loss, damage, cost or expense (including reasonable professional fees) incurred by that TBD Party relating to any Claim, except to the extent the liability is caused by the negligence or intentional misconduct of that TBD Party as determined by a final, non-appealable order of a court having jurisdiction. Vendor will not consent to the entry of a judgment or enter into any settlement or compromise of any Claim without the TBD Parties' prior written consent, which may not be unreasonably withheld. Vendor will use counsel reasonably satisfactory to the TBD Parties, and the TBD Parties will cooperate in the defence. If any TBD Party reasonably determines that any Claim might have an adverse effect on any TBD Party, that TBD Party may, to the extent permitted by applicable law, take control of the defence at its expense (without limiting Vendor's indemnification obligations).

6. Limitation of Liability: NO TBD PARTY WILL BE LIABLE TO VENDOR FOR ANY INDIRECT, CONSEQUENTIAL OR SPECIAL DAMAGES (ALL OF WHICH TERMS INCLUDE, WITHOUT LIMITATION, PURE ECONOMIC LOSS, LOSS OF PROFITS, LOSS OF BUSINESS, DEPLETION OF GOODWILL AND SIMILAR LOSS).

7. Shipping: The parties will agree which party will be responsible for transportation of the Products to TBD. When TBD is responsible for transportation, Vendor will deliver the Products to TBD's designated carrier and risk of damage to or loss of the Products will pass to TBD when Vendor delivers the Products to the carrier. When Vendor is responsible for transportation, risk of damage to or loss of the Products will pass to TBD when it accepts the Products from Vendor's designated carrier and Vendor will follow TBD's delivery procedures and requirements. Vendor retains title to Products until TBD has paid for those Products. However, Vendor may not require TBD to dispose of the Products, rescind the transaction, prohibit TBD from moving, selling and transferring good title to its customers or otherwise using the Products in the ordinary course of business. Moreover, Vendor has no other rights than recovery of the Products in TBD's stock if TBD defaults in its payment obligation for the Products due to insolvency.

8. Insurance: Vendor will comply with Schedule 1 in respect of insurance requirements.

9. Confidential Information: Vendor will: (a) protect TBD's information that is identified as confidential or that reasonably should be considered confidential; (b) use this information only to fulfil its obligations under this Agreement; and (c) return this information to TBD promptly when this Agreement terminates. Section 9 covers all confidential information regardless of when Vendor receives it. Vendor will not use any trademark, service mark, commercial symbol, or other proprietary right of any TBD Party; issue press releases or other publicity relating to TBD or this Agreement; or refer to TBD in promotional materials.

10. Miscellaneous: The parties agree that the Agreement may be validly concluded online. These terms and conditions along with any addendums, agreements under which Vendor ships Products directly to TBD and all commercial terms agreed in writing (including online) between the parties (together "the Agreement") will form the entire agreement between TBD and Vendor for the purchase and sale of Products and supersede all prior agreements and discussions relating to the same. Conflicting provisions, in particular (but not limited to) those contained in Vendor's general terms and conditions, will only apply if TBD explicitly agrees to such provisions in writing. The term of this Agreement is for the calendar year in which it is signed by the parties. This Agreement will automatically renew for successive calendar years on the same terms and conditions unless superseded by another written agreement between the parties or unless terminated, without recourse to the courts, by either party giving 60 days' written notice to the other at any time. Sections 2, 3, 4, 5, 6, 8, 9 and 10 will survive termination of the Agreement. Vendor may only assign or otherwise transfer the Agreement with TBD's prior written consent. TBD may collect and process personal data from Vendor, and/or its representatives or employees, for the purposes of communicating about, and developing, the mutual business relationship, complying with legal obligations and generally giving effect to the terms of the Agreement. Any such personal data shall be collected and processed in accordance with the principles detailed in TBD's privacy policy. This Agreement will be interpreted and enforced in accordance with the laws of England and Wales without reference to any applicable conflict of laws or the Convention on Contracts for the International Sale of Goods. TBD and Vendor submit to the non-exclusive jurisdiction of the courts of England. TBD's estimates or forecasts are non-binding. TBD may withhold or setoff any sums Vendor owes to TBD against sums owed by TBD to Vendor. TBD may request from Vendor documents to enable it to verify payments made in accordance with this Agreement. If Vendor does not provide such documents within a reasonable period, TBD will be free to deduct any outstanding amount from Vendor's next remittance. The exercise of one or more rights or remedies by a party will not preclude it from exercising any other right or remedy. TBD may communicate any modification of the Agreement via email. Except as provided for in section 1, Vendor may reject the modifications. If TBD does not receive Vendor's rejection within 14 days after notification, these modifications will be deemed to have been accepted and will become part of the Agreement. Either party's failure to enforce any provision will not be a waiver of the party's rights to subsequently enforce the provision. If any provision is held to be invalid, then that provision will be modified to the extent necessary to give effect to the commercial intentions of the parties and to make it enforceable, and any invalidity will not affect the remaining provisions. Schedule 1
Insurance
1. Any non-Media Vendor will obtain and maintain, at its expense, Public Third Party Liability insurance coverage of, after conversion into pounds sterling, at least £1million per occurrence and £2 million aggregate (except that, if the Products include any of the product types listed in clause 4 of this Schedule 1, Vendor's coverage must be at least the amounts shown for such product types),. This coverage must be maintained for twelve (12) months after the expiration of this Agreement. Media is defined as books, music, video games, film, TV and software Products. If the Media is accompanied with a non-Media product (e.g. figurine, toy), then the combined product will be considered non-Media.
. 2. The required minimum limits of insurance may be satisfied by any combination of primary and excess/umbrella liability insurance policies. Each of these coverages shall be primary and non-contributory to any such coverage carried by TBD. Vendor will include "The Book Depository Limited and its affiliates and their respective officers, directors, employees and agents" as "Indemnity to Principal" and Vendor will provide TBD with 30 days' advance notice of cancellation, significant modification or expiration of such insurance coverage.
3. Vendor will promptly provide a certificate of insurance to TBD's Risk Management upon TBD's request, Attn: Risk Management, The Book Depository Limited, 60 Holborn Viaduct, London, EC1A 2FD. TBD's approval of Vendor's insurance does not relieve Vendor of any obligations, including but not limited to its defence and indemnity obligations, even for claims over Vendor's policy limits. If Vendor fails to perform any of its obligations in Schedule 1, TBD may withhold payment owed to Vendor until Vendor meets these obligations.
