Articles of Incorporation


Articles of Incorporation

The undersigned, a majority of whom are citizens of the North America, desiring to form a corporation not for profit under the General Corporation Act of the State of Ohio, do hereby certify

  • First: The name of the corporation shall be Foundry Educational Foundation.
  • Second: The place in the state of Ohio where the principal office of the corporation is to be located is the city of Cleveland, Cuyahoga County.
  • Third: The purposes for which and for any of which said corporation is formed are:
    1. To make grants, gifts or contributions in money or other property to schools, colleges, universities and other institutions of learning (no part of the net earnings of which inures to the benefit of any private shareholder or individual and no substantial part of the activities of which is carrying on propaganda or otherwise attempting to influence legislation), for the purpose of fostering and improving education in North America in the field of foundry engineering, practice and operation, including, but without limiting, the generality of the foregoing, grants to be used for the purchase and installation of equipment necessary for instruction, for financial assistance to worthy students and other persons in acquiring training in foundry engineering, practice and operation, and for the procurement of adequate teaching staffs to carry out such purpose.
    2. To do all things and exercise all rights and powers permitted to corporations not for profit created under the laws of the State of Ohio, including, but without limiting the generality of the foregoing, the right and power in any manner whatsoever to acquire, hold, use, control and dispose of any kind or kinds of property, and to do any and all things incidental thereto, provided however, that, except for payment of expenses reasonably necessary and properly incidental to the administration of the affairs of the corporation, no part of the funds, net earnings or profits to the corporation shall inure to the benefit of any private individual or private organization of any sort or shall be devoted in any way to any other than religious, charitable, scientific, literary or educational purposes.
    3. Fourth: The following shall be the members and Trustees of the corporation, to serve until the first meeting called to adopt a Code of Regulations and elect Trustees, and until their successors are elected and qualified:

      • Richard H. Stewart, 1759 Union Commerce Bldg., Cleveland, Ohio
    4. Fifth: The qualification, classification, rights, powers and obligations, of the membership of the corporation shall be determined in the manner provided by its Code of Regulations.
    5. Sixth:The Code of Regulations may provide the vote required to amend these articles.
    6. Seventh: Upon dissolution of the corporation, the governing board shall, after paying or making provisions for the payment of all of the liabilities of the corporation, dispose of all the assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code of 1986 (or corresponding provision of any future United States Internal Revenue Law), as the governing board shall determine. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.
